Terms of Service.
These Terms describe the rules for using Macrodata Labs services. They are intended for customers running data, model, and compute workloads through Macrodata Labs.
1. Acceptance
These Terms of Service govern your access to and use of the websites, applications, APIs, command-line tools, cloud execution, documentation, and related services provided by Macrodata Labs, Inc. ("Macrodata," "we," "us," or "our").
By creating an account, accepting these Terms in the product, using the Services, or signing an order form or other written agreement that references these Terms, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization.
2. Additional Agreements
Some Services may be subject to an order form, statement of work, data processing addendum, supplemental terms, or other written agreement signed by you and Macrodata. If there is a conflict, the signed agreement controls for the covered Services, followed by any supplemental terms, then these Terms.
3. Accounts, Workspaces, and Credentials
You are responsible for the accuracy of account and billing information you provide and for all activity under your accounts, workspaces, API keys, access tokens, and credentials.
You must keep login credentials, API keys, workspace secrets, and other authentication material confidential. You must promptly rotate or revoke credentials if you believe they have been compromised.
4. Customer Data and Ownership
You retain all rights, title, and interest in and to your data, code, models, datasets, prompts, inputs, outputs, artifacts, files, logs, dependencies, secrets, credentials, and other materials that you submit to, generate with, or process through the Services ("Customer Data"). Macrodata does not own Customer Data.
Macrodata does not sell Customer Data. Macrodata does not train models on Customer Data. We process Customer Data only as needed to provide, operate, secure, debug, support, and improve the Services; to comply with law; and as otherwise expressly directed by you.
You are responsible for Customer Data, including obtaining all rights, permissions, licenses, and consents required to submit, process, store, transmit, and use Customer Data through the Services.
5. Privacy and Security
Our handling of personal information is described in our Privacy Policy. We use reasonable administrative, technical, and organizational safeguards designed to protect Customer Data and workspace secrets.
You are responsible for configuring your workloads, credentials, access controls, dependencies, and integrations appropriately for your use case.
6. Restrictions
You may use the Services only in compliance with applicable law and these Terms. You may not use the Services to violate law, infringe third-party rights, transmit malware, probe or attack systems, bypass security or billing controls, scrape or spam, perform denial-of-service activity, harvest credentials, or interfere with the Services or third-party services.
You may not use the Services for cryptocurrency mining, blockchain validation, peer-to-peer file sharing, public file hosting, media serving at scale, vulnerability scanning against third parties without authorization, adult or illegal content, or any workload that creates legal, security, operational, or reputational risk for Macrodata or others.
You may not resell, sublicense, or provide third parties direct access to the Services except as expressly permitted by Macrodata in writing.
7. Regulated and Sensitive Data
Unless Macrodata expressly agrees in writing, you may not submit protected health information, payment card data, government identification numbers, highly sensitive personal information, or data subject to specialized regulatory requirements that the Services are not designed to support.
You are responsible for determining whether the Services are appropriate for your data and compliance obligations.
8. Cloud Jobs
The Services may allow you to run cloud jobs, data processing workloads, or other compute tasks. You are responsible for your job configuration, resource choices, code, dependencies, models, datasets, prompts, and outputs.
Cloud jobs may fail, be delayed, be interrupted, be retried, be canceled, or be unavailable. We may apply usage limits, rate limits, resource limits, safety checks, billing checks, or other controls to protect the Services and other users.
9. Third-Party Services
The Services may interoperate with third-party services, infrastructure providers, payment processors, model providers, package registries, data sources, and open-source software. Your use of third-party services may be governed by separate terms, policies, and licenses.
Macrodata is not responsible for third-party services outside our control, including their availability, security, performance, pricing, legal terms, or changes.
10. Billing, Payment, and Credits
You agree to pay all fees, prepaid credit purchases, usage charges, and other amounts incurred by your workspaces. You authorize Macrodata and its payment processors to charge your selected payment method for amounts you approve, including auto-recharge amounts if you enable auto-recharge.
Service credits are not currency, stored value, legal tender, or property. They are non-transferable, have no cash value, and may be used only for the Services. Purchased credits are non-refundable except where required by law or expressly stated by Macrodata.
Purchased credits do not expire during normal operation of the Services. Macrodata may modify, retire, or discontinue credit programs or affected Services if Macrodata retires a product, winds down the Services, is legally required to do so, or is operationally unable to continue offering the relevant Services. Where practical, we will provide reasonable notice.
Free, trial, promotional, monthly, or included credits are provided as-is, without any guarantee. Macrodata may change, reduce, withhold, remove, or decline to renew free credits at any time in its discretion.
Paid features may require available prepaid balance. If a workspace has no available balance, we may pause those features or suspend paid functionality until payment succeeds or balance is restored.
11. Taxes
Unless expressly stated otherwise, all fees, prepaid credits, usage charges, and other amounts are exclusive of taxes. You are responsible for all sales, use, value-added, goods and services, withholding, duties, levies, and similar taxes or governmental assessments associated with your purchase or use of the Services, except taxes based on Macrodata’s net income.
Macrodata may calculate, collect, and remit taxes where required by law. If Macrodata is required to pay or collect taxes for which you are responsible, you must pay or reimburse Macrodata for those amounts unless you provide a valid tax exemption certificate or other documentation accepted by the relevant taxing authority.
You may not reduce payments to Macrodata by setoff, withholding, deduction, or tax unless required by law.
12. Outputs and AI Systems
You are responsible for reviewing, validating, and deciding how to use any output, artifact, prediction, classification, transformation, summary, recommendation, or other result produced by workloads or models you run through the Services.
AI and machine learning systems may produce inaccurate, incomplete, biased, offensive, unsafe, or non-unique outputs. The Services and outputs are not legal, financial, medical, tax, safety, or other professional advice.
13. Confidentiality
Each party may receive non-public information from the other that should reasonably be understood to be confidential. The receiving party will use reasonable care to protect confidential information and will use it only to perform obligations or exercise rights under these Terms.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, independently developed without use of confidential information, lawfully received from a third party without restriction, or required to be disclosed by law.
14. Macrodata Property and Feedback
Macrodata and its licensors own the Services, software, websites, APIs, documentation, user interfaces, trademarks, and related technology, including improvements and derivative works. Except for the rights expressly granted to you, Macrodata reserves all rights.
If you provide feedback or suggestions about the Services, you grant Macrodata a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction. Feedback does not include Customer Data.
15. Publicity
Macrodata will not use your name, logo, or trademarks in public marketing materials without your permission.
16. Suspension and Termination
You may stop using the Services at any time. Macrodata may suspend or terminate access to the Services if you breach these Terms, fail to pay amounts due, create security or legal risk, misuse the Services, or if suspension is necessary to comply with law or protect the Services or others.
We may suspend access immediately without prior notice in urgent cases, including security incidents, abuse, legal risk, compromised credentials, or operational threats. Where practical, we will provide notice and an opportunity to remediate.
After termination, you must stop using the Services and pay all amounts incurred before termination. We may delete Customer Data after termination and may retain copies as required or permitted for backups, security, legal compliance, billing, audit, or dispute resolution.
17. Disclaimers
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available." Macrodata disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted or error-free operation.
18. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, replacement services, or cost of cover, even if advised of the possibility of those damages.
To the fullest extent permitted by law, each party’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of $100 or the amounts you paid to Macrodata for the Services in the 12 months before the event giving rise to the claim.
These limitations do not apply to payment obligations, misuse of a party’s intellectual property, confidentiality obligations, indemnification obligations, fraud, willful misconduct, or liabilities that cannot be limited under applicable law.
19. Indemnification
You will defend, indemnify, and hold harmless Macrodata and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from Customer Data, your workloads, your use of the Services, your breach of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.
20. Changes
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, updating the effective date, emailing account contacts, or providing in-product notice. Your continued use of the Services after changes become effective means you accept the updated Terms.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to those courts and venue.
Before filing a claim, each party will make a good-faith effort to resolve the dispute informally by contacting the other party.
22. Miscellaneous
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. You may not assign these Terms without Macrodata’s prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets. Macrodata may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all assets, or by operation of law.
If any provision is unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with any applicable signed agreements and supplemental terms, are the entire agreement between the parties regarding the Services.
23. Notices and Contact
Legal notices to Macrodata must be sent to [email protected]. We may send notices to the email address associated with your account, a workspace billing or owner contact, through the Services, or by posting on our website.
